B2B Wholesale Agreement: These terms apply exclusively to business-to-business transactions.
Product Scope
Kimone Vapor supplies two categories of vaping products:
- Empty CBD Vaping Hardware: Cartridges, batteries, pods, CBD vape pen (for CBD oil only)
- Nicotine E-cigarette Products: Disposable vape, vape pods, accessories
We do not sell CBD oil or any CBD concentrate products.
1. Business Eligibility & Account Terms
1.1 Business Verification
- Wholesale accounts require proof of business registration
- Must be authorized to purchase vaping products in your jurisdiction
- Age verification: Business representatives must be 21+
- Reseller permits may be required in certain regions
1.2 Account Requirements
- Minimum order value: $500 USD for standard products
- Custom orders: Minimum quantities apply
- Account approval is subject to a compliance check
- Accounts are non-transferable

CBD Vape Hardware
- For use with CBD oil only
- THC-free hardware components
- Compliant with the CBD legal markets
- Age restriction: 21+ end consumers
Nicotine E-cigarettes
- TPD/TRPR compliant where applicable
- PMTA-ready hardware components
- Age restriction: 21+ (US), 18+ (other markets)
- Child-resistant packaging available
2.1 Customer Compliance Responsibilities
- Verify product legality in your target markets
- Obtain necessary import licenses and permits
- Comply with local age verification requirements
- Ensure proper product labeling and warnings
- Maintain records as required by local regulations
3. Ordering Process & Payment Terms
3.1 Order Procedure
- Submit an inquiry with product specifications
- Receive a formal quotation/proforma invoice
- Confirm the order and make payment
- Production begins upon payment confirmation
- Receive shipping documents and tracking
- OEM/ODM avalaible

3.3 Payment Terms for Established Customers
- 30% deposit, 70% before shipment
- Net 30 days (subject to credit approval)
- Payment terms reviewed quarterly
4. Shipping & Delivery
4.1 Shipping Options
- Express: DHL/FedEx/UPS (12-15 days DDP)
- Air Freight: (7-14 days)
- Sea Freight: (25-45 days) - Best for large orders
4.2 Shipping Terms
- FOB Shenzhen: Most commonly, the buyer arranges the main carriage
- CIF: Cost, Insurance & Freight to the main port
- DDP: Available for select destinations
Import duties, taxes, and customs clearance are buyer's responsibility unless DDP terms.

5. Quality Control & Returns
5.1 Quality Standards
- ISO 9001 manufacturing processes
- Batch testing and quality inspection
- Material certificates are available upon request
- CE/FCC/RoHS compliance for electronics
5.2 Inspection & Claims
- Inspect goods within 7 days of receipt
- Report defects with photos/videos within 48 hours
- Defective rate under 0.5% is considered normal
- Major defects: replacement or credit
5.3 Return Policy
- Defective products: Free replacement
- Wrong items shipped: Free return shipping
- Non-defective returns: 20% restocking fee
- Custom products: Non-returnable
- Returns must be in original packaging
6. Warranty Terms
Hardware Warranty
6 Months from shipment date
Covers manufacturing defects only
Battery Warranty
3 Months from shipment date
Covers premature failure
The warranty does not cover: misuse, water damage, unauthorized modifications, or normal wear and tear.
7. Intellectual Property
7.1 Our Intellectual Property
- Product designs, trademarks, and patents are protected
- Technical specifications confidential
- No reproduction without written consent
- Custom designs remain our property unless negotiated
7.2 Customer Branding
- Provide vector files for custom printing
- Warranty of rights to the provided logos/designs
- Minimum order quantities for custom branding
- Approval proofs provided before production
8. Liability & Limitations
Important Limitations
- Maximum liability limited to the order value
- No liability for indirect or consequential damages
- Not responsible for improper use or resale
- Compliance with local laws is the buyer's responsibility
9. Force majeure
Not liable for delays caused by: natural disasters, government actions, pandemics, strikes, material shortages, or other circumstances beyond reasonable control.
10. Governing Law & Disputes
- Governing law: People's Republic of China
- Dispute resolution: Arbitration in Shenzhen
- Language: English version controls
- Each party bears its own legal costs

By placing an order, you confirm that:
- You have read and understand these terms.
- You are authorized to enter into this agreement
- You comply with all applicable laws
- You accept these terms in full
